We are delighted to announce that we're launching a crowdfunding investment round. We have big plans and an exciting future ahead.

Temple has been growing and building from day one into the substantial and successful business it is today. We have achieved some major milestones along the way, all with the support of our amazing community and Seed Investors.

Our bikes have proved immensely popular across all generations, and Temple Cycles’ growth has been achieved through a commitment to design excellence, product quality and the best customer service.

We invite you to invest again in Temple. We will be raising investment on an established platform (Crowdcube or Seedrs), which means anyone can invest from as little as £10/€10 to own a piece of Temple Cycles.

Since our 2017 crowd raise we have:

    • Grown revenues by 1,600% (with an average annual growth rate of 80%), and consistently traded profitably
    • Increased our engaged community of customers to over 15,000 worldwide, using our voice to actively inspire people to cycle
    • Invested in, and up-scaled our UK production capacity by 1,200%
    • Strengthened our brand and product quality, leading the way with sustainable bicycle production, creating long lasting bikes with lifetime warranties

“There’s a huge opportunity for success in this rapidly growing market, especially for a business with all the value that Temple brings. In the future green modes of transport will be increasingly important, and bicycles including e-bikes will have a large role to play. This makes it an incredibly exciting time to be in this sector and we have a perfect position in the market to grow.”

Matt Mears - Founder of Temple

Growth Ambitions:

    • Become a global bicycle company with a reputation for exceptional design, quality and sustainability
    • Expand the electric side of the business and increase our share of this growing market
    • Grow our exports, with a focus on the EU and the US
    • Continue to innovate, developing our existing product lineup further

We last raised in 2017, inviting our supporters to become shareholders and own equity in Temple. The uptake was incredible and we reached our target in 24 hours. We expect the demand to be high again, so therefore we’d like to offer the opportunity to our community first.

By pre-registering, you will gain exclusive early access to invest before the raise goes live to the public, and you’ll be kept informed with key information during the build up.

Why are we crowdfunding?

We are crowdfunding because we have big ambitions for the future and the business requires capital to achieve these. For us, having our community as investors is tremendously important. It increases our brand recognition and allows for our supporters to directly be involved with the Temple journey.

What is equity crowdfunding?

Equity crowdfunding is a common way companies raise investment. It’s usually for early growth stage companies who are not listed on a stock market. It allows anyone to become a shareholder and own equity (shares) in that company. If the company grows in size as a result of the investment, its shares can become more valuable. Any shareholder can profit from the investment in an exit event such as a merger, company sale or IPO. Things can also go the other way and as with all investments, there is risk of the company decreasing in value and investors can lose some or all of their investment.

Does pre-registering commit me to investing?

No. Pre-registering simply allows you to have first priority when the investment round opens, and exclusive early access before the opportunity goes live to the general public. It also allows you to keep up to date with the run-up and also receive more details and documents relevant to the investment.

When does the crowdfunding launch and when can I invest?

At the moment, we are scheduling for July 2022, however things are open to change. If you pre-register, we will keep you updated well in advance and you will be able to invest early.

Are you raising through an online platform?

We will be raising through either the Crowdcube or Seedrs platform.

How can I find more about the growth plans and ask questions?

As a previous investor, you have been sent the Pitch Deck already (linked via email). Once the campaign is live, we will have a discussion forum online where anything about the investment can be addressed. Prior to this, we can answer any questions you have through email:

Who can invest?

Anyone over the age of 18 can invest.

How much can I invest?

You can invest as little as £10, or as much as you would like.

Will there be early access for customers?

Any Temple customer who pre-registers will get early access.

What is the valuation of the business?

Valution and share price information are in the Investor Update email.

I am a previous Crowd investor in Temple. How will this affect my current equity?

As we take on new investment, dilution will occur to existing shareholders. However, the valuation is much higher than the raise in 2017, which will greatly offset the dilution. Information is in the Footnote of the Investor Update email.

Can I sell or transfer my shares?

Due to the nature of private companies, the shares you own are inherently illiquid - you'll only be able to sell and realise a return if a liquidity event occurs, such as the business being acquired, a listing on a share exchange or a secondary share sale event. For any queries relating to share ownership please contact who will be best placed to advise on the technicalities of possible transfer.

Is the investment EIS eligible? What is EIS?

Yes, this investment round is eligible for EIS.

The scheme offers many benefits to those with Enterprise Investment Scheme investments – such as income tax relief of 30% on the investment.

Another benefit is that investors won’t have to pay any capital gains tax on any profits made after the sale of those shares, and any previous capital gains can be deferred. Additionally, investors are also able to offset any losses they may encounter against their earnings – protecting them if the business fails.

What benefits do I get as a shareholder?

Investing in private companies is a long-term capital investment that will help us grow the company. A return on investment is typically made via a liquidity event such as an IPO of the company, or if the company is acquired by another company. You can learn more about investor returns here on the Crowdcube platform. As well as equity, we will also be offering an exciting rewards package dependent on investment levels. These new rewards are exclusive to this raise.

What happens after I invest?

Once the pitch reaches its target and closes to further funding, the completion process starts. At that point, all investors will receive a copy of the Articles of Association via email and then electronic share certificates are issued.

What exit prospects are there for investors?

We are focused on our growth plans which we believe will drive value creation for our shareholders.

We have explored several different types of exit scenarios and are very confident that we can grow Temple Cycles into a business with very good exit possibilities.

Exits frequently occur in the cycling market and we expect activity to increase in this time period as E Bikes take on a more dominant role and increasing levels of outside investment enter the industry.

Are there any risks?

Investing involves risks, including loss of capital, illiquidity, lack of dividends and dilution, and should be done only as part of a diversified portfolio.
